1. บทนำ

เอกสารนี้เป็นเอกสารที่ระบุขอบเขตของการให้บริการของผู้ให้บริการ และระบุสิ่งที่ผู้ใช้บริการสามารถทำได้และไม่ได้ รวมถึงข้อตกลงเงื่อนไขการใช้งาน (“ข้อตกลง”) และเมื่อคุณยอมรับรายละเอียดที่อธิบายไว้ด้านล่างจะถือเป็นข้อตกลงที่มีผลผูกพันตามกฎหมายระหว่างบริษัท กิงโกะ ซอฟต์ จำกัด (“กิงโกะ”, “เรา” หรือ “พวกเรา”) ซึ่งเป็นบริษัทจำกัดและจัดตั้งขึ้นภายใต้กฎหมายของประเทศไทย (หมายเลข 0105556078229) ซึ่งเป็นเจ้าของ และดำเนินการผลิตภัณฑ์ตามที่กำหนดไว้ด้านล่างกับบุคคลหรือนิติบุคคลที่มีลักษณะดังต่อไปนี้ (เรียกรวมกันว่า “คุณ” หรือ “ของคุณ”)

• ผู้เยี่ยมชมเว็บไซต์ทั่วไปไปยัง net และ/หรือ URL อื่น ๆ ที่กิงโกะเป็นเจ้าของหรือดำเนินการ (แต่ละรายเรียกว่า “ผู้เยี่ยมชมเว็บไซต์”)
• สมาชิกหรือผู้ได้รับใบอนุญาตในผลิตภัณฑ์หรือบริการของเราหนึ่งรายการขึ้นไป (“บริการของกิงโกะ”) (แต่ละรายเรียกว่า “ลูกค้า”) และ
• ผู้ใช้บริการ getInvoice รวมถึงผู้ใช้ที่ได้รับอนุญาตให้ใช้บัญชีลูกค้าและผู้ใช้บริการ getInvoice ในรูปแบบอื่นๆ (แต่ละรายเรียกว่า “ผู้ใช้”)

2. UPDATES AND COMMUNICATIONS

2.1. เราอาจแก้ไขข้อกำหนดเหล่านี้ รวมถึงเปลี่ยนแปลง ลบ หรือเสริมข้อกำหนดและเงื่อนไขเพิ่มเติมเป็นครั้งคราวตามดุลยพินิจของเราแต่เพียงผู้เดียว นอกจากนี้ เพื่อปฏิบัติตามกฎหมายที่บังคับใช้ เราจะอัพเดทข้อกำหนดที่แก้ไขบนเว็บไซต์โดยมีเลขที่เวอร์ชัน เป็นวันที่ “อัปเดตล่าสุด” ดังนั้นโปรดตรวจสอบเว็บไซต์นี้เป็นประจำเพื่อรับการแจ้งเกี่ยวกับการแก้ไขใดๆ หากคุณยังคงใช้ไซต์หรือบริการต่อไปหลังจากการแก้ไขมีผลบังคับใช้ หมายถึงคุณตกลงที่จะผูกพันตามข้อกำหนดที่แก้ไข คุณยอมรับว่าเราจะไม่รับผิดชอบต่อคุณหรือต่อบุคคลที่สามสำหรับการแก้ไขข้อกำหนดใด ๆ

2.2. คุณยอมรับที่จะรับการสื่อสาร จดหมายโต้ตอบ และประกาศทั้งหมดที่เราให้ไว้เกี่ยวกับเว็บไซต์ของเรา รวมถึงบริการ getInvoice ใดๆ รวมถึงไม่เฉพาะแต่ข้อความทางการตลาด และส่งเสริมการขายที่เกี่ยวข้องกับเราหรือบริการ getInvoice การโต้ตอบเกี่ยวกับการส่งมอบบริการของ getInvoice และให้ข้อมูลที่เกี่ยวข้องกับการซื้อหรือการสมัครสมาชิกบริการ getInvoice (“การสื่อสาร”) ของคุณ ผ่านวิธีการอิเล็กทรอนิกส์ รวมถึงทางอีเมล หรือข้อความการแจ้งเตือนในผลิตภัณฑ์ การแจ้งเตือนแบบพุช หรือโดยการโพสต์ หรือใช้งานได้ผ่านทางเว็บไซต์ ตามขอบเขตสูงสุดที่ได้รับอนุญาตตามกฎหมายที่บังคับใช้ คุณยอมรับว่าการสื่อสารทั้งหมดระหว่างเรากับคุณเป็นไปตามข้อกำหนดทางกฎหมายทางอิเล็กทรอนิกส์ ทั้งที่การสื่อสารเป็นลายลักษณ์อักษรหรือส่งมอบในลักษณะตามที่ตกลงกัน และคุณตกลงตามขอบเขตในฐานะที่คุณเป็นผู้เยี่ยมชมเว็บไซต์ ลูกค้า และผู้ใช้ ซึ่งเป็นผู้ดูแลบัญชี และข้อมูลการติดต่อปัจจุบัน คุณสามารถเลือกไม่รับอีเมลทางการตลาด และข้อความส่งเสริมการขายที่ส่งถึงคุณเป็นระยะ โดยการยกเลิกการสมัครด้วยการ กด unsubscibe ในท้ายอีเมลทางการตลาดที่ได้รับ หรือส่งอีเมลขอยกเลิกการสมัครมาทาง  appsupport@ginkgosoft.co.th

 3. OWNERSHIP

3.1. ทรัพย์สินทางปัญญา: เว็บแอพพลิเคชั่นหรือเว็บไซต์ประกอบด้วยเนื้อหาที่เป็นกรรมสิทธิ์และได้รับการคุ้มครองโดยลิขสิทธิ์ , เครื่องหมายการค้า , เครื่องหมายบริการ , สิทธิบัตร , ใบรับรอง รวมถึงกฎหมายและสนธิสัญญาทรัพย์สินทางปัญญาอื่นๆ.

3.1.1. คุณตกลงที่จะปฏิบัติตามกฎหมายลิขสิทธิ์และกฎหมายทรัพย์สินทางปัญญาที่เกี่ยวข้องทั้งหมด ตลอดจนประกาศเกี่ยวกับกรรมสิทธิ์หรือข้อจำกัดเพิ่มเติมใด ๆ ที่มีอยู่ในไซต์ คุณรับทราบว่าไซต์นี้มีทรัพย์สินทางปัญญาอันมีค่าของกิงโกะซอฟต์ และผู้อนุญาต. และไซต์นี้มีสิทธิ์ในปัจจุบันและอนาคตทั้งหมดต่อทรัพย์สินทางปัญญาหรือกรรมสิทธิ์อื่น ๆ ทุกประเภท ไม่จำกัดแต่การปรับปรุงใด ๆ การสนับสนุน การออกแบบ หรือการลอกเลียนแบบ และความรู้หรือกระบวนการใด ๆ ที่เกี่ยวข้อง รวมถึงสิทธิ์ในแอปพลิเคชัน และการลงทะเบียนทั้งหมดที่เกี่ยวข้องกับทรัพย์สินทางปัญญาดังกล่าว ระหว่างคุณ และ กิงโกะซอฟต์ ทุกสิ่งที่กล่าวมาข้างต้นจะเป็นทรัพย์สินของ กิงโกะซอฟต์ และผู้อนุญาตแต่เพียงผู้เดียวตลอด. สิทธิ์ใดๆ ที่ไม่ได้ให้ไว้อย่างชัดแจ้งในข้อกำหนดเหล่านี้หรือเป็นลายลักษณ์อักษรระหว่างคุณกับ กิงโกะซอฟต์ จะถูกสงวนไว้โดย กิงโกะซอฟต์. และการใช้ทรัพย์สินทางปัญญาใดๆ ที่เกี่ยวข้องกับไซต์โดยไม่ได้รับอนุญาต ถือเป็นสิ่งต้องห้ามโดยเด็ดขาด.

3.1.2. เครื่องหมายการค้า : โลโก้ สโลแกน และเครื่องหมายสัญลักษณ์ที่แสดงบนเว็บไซต์ (เรียกรวมกันว่า “เครื่องหมายการค้า”) ได้รับการจดทะเบียนหรือไม่ได้จดก็ตาม ของ กิงโกะซอฟต์ และผู้อนุญาต License. เครื่องหมายการค้าไม่สามารถใช้ในการโฆษณาหรือการประชาสัมพันธ์ใดๆ หรือเพื่อบ่งชี้ถึงการสนับสนุนหรือความเกี่ยวข้องของ กิงโกะซอฟต์ กับผลิตภัณฑ์ บริการ กิจกรรม หรือองค์กรใดๆ โดยไม่ได้รับอนุญาตเป็นลายลักษณ์อักษรล่วงหน้าจาก กิงโกะซอฟต์.

3.1.3. ลิขสิทธิ์ : getInvoice เคารพกฎหมายลิขสิทธิ์และคาดหวังให้ผู้ใช้ปฏิบัติเช่นเดียวกัน. หากคุณเชื่อว่าเนื้อหาหรือข้อความใดๆ บนไซต์อาจละเมิดลิขสิทธิ์ที่คุณเป็นเจ้าของ โปรดแจ้งให้เราทราบทางอีเมล  appsupport@ginkgosoft.co.th

3.2. ข้อจำกัดของ License : ข้อมูลใดๆ รวมถึงซอฟต์แวร์ที่อาจมีให้ดาวน์โหลดผ่านทางไซต์หรือเว็บไซต์หรือแอปพลิเคชันของบุคคลที่สาม (“ซอฟต์แวร์”) เป็นงานที่มีลิขสิทธิ์ของกิงโกะซอฟต์ ผู้อนุญาต License และ/หรือผู้ให้บริการบุคคลที่สามอื่น ๆ ที่เกี่ยวข้อง. การใช้ซอฟต์แวร์อยู่ภายใต้ข้อกำหนดเหล่านี้และ License และ/หรือข้อกำหนดอื่น ๆ ที่จะจำเป็นต่อคุณโดยตรง จากผู้ให้บริการบุคคลที่สาม. การทำซ้ำหรือแจกจ่ายซอฟต์แวร์โดยไม่ได้รับอนุญาตเป็นสิ่งต้องห้ามตามกฎหมาย การกระทำดังกล่าวอาจส่งผลให้ได้รับโทษทางแพ่งและทางอาญา ผู้ฝ่าฝืนอาจถูกฟ้องร้องเพื่อดำเนินคดี

3.3. การส่งมอบเนื้อหาของผู้ใช้

3.3.1. การส่งมอบเนื้อหา : ไซต์อาจอนุญาตให้คุณส่ง โพสต์ อัปโหลด หรือเผยแพร่เนื้อหา (โดยรวมเรียกว่า “โพสต์”) เช่น คำถาม ข้อความสาธารณะ แนวคิด ความคิดเห็นเกี่ยวกับผลิตภัณฑ์ ความคิดเห็น และเนื้อหาอื่น ๆ (เรียกรวมกันว่า “เนื้อหาของผู้ใช้”) ที่ ผู้ใช้รายอื่นอาจหรืออาจจะไม่สามารถดูได้ หากคุณโพสต์เนื้อหาของผู้ใช้ เว้นแต่เราจะระบุไว้เป็นอย่างอื่น คุณให้สิทธิ์แก่เราในการดำเนินการข้อมูลของคุณตามสัญญา หรือข้อตกลง และใช้ข้อมูลของผู้ใช้เป็นการพัฒนาเทคโนโลยีใด ๆ ที่เป็นที่รู้จักหรือพัฒนาต่อจากนี้ไป โดยอยู่ภายใต้ขอบเขตสัญญา หรือข้อตกลง. คุณให้สิทธิ์เราในการใช้ชื่อและข้อมูลอื่น ๆ ที่เกี่ยวข้องกับเนื้อหาผู้ใช้ของคุณที่คุณส่งมาดำเนินการตามสัญญา หรือข้อตกลง  โดยคุณรับรองและรับประกันว่า: (a) คุณเป็นเจ้าของหรือควบคุมสิทธิ์ทั้งหมดในข้อมูลที่ผู้ใช้ส่งมอบ; (b) ข้อมูลที่ผู้ใช้ส่งมอบนั้นเป็นความจริงและถูกต้อง; และ (c) การใช้ข้อมูลที่ผู้ใช้ส่งมอบไม่ละเมิดข้อกำหนดหรือกฎหมายที่เกี่ยวข้อง.

3.3.2. การคัดกรองและการกำจัด: คุณรับทราบและยอมรับว่าเราอาจมี หรือไม่มี ตามดุลยพินิจของเรา ในการคัดกรองข้อมูลผู้ใช้ล่วงหน้าโดยไม่ได้มีเงื่อนไข. คุณรับทราบว่าเราขอสงวนสิทธิ์ (แต่ไม่ถือเป็นภาระผูกพันใด ๆ) ตามดุลยพินิจของเราแต่เพียงผู้เดียวในการปฏิเสธ ย้าย แก้ไข หรือลบเนื้อหาผู้ใช้ใด ๆ ที่โพสต์หรือใช้งานบนไซต์. เรามีสิทธิ์ที่จะลบข้อมูลของผู้ใช้ที่ละเมิดข้อกำหนดตามดุลยพินิจของเราแต่เพียงผู้เดียว. คุณยอมรับว่าเราไม่ตรวจสอบ หรือลงโทษเนื้อหาของผู้ใช้ รวมถึงคุณต้องประเมินและแบกรับความเสี่ยงทั้งหมดที่เกี่ยวข้องกับการใช้ข้อมูลผู้ใช้.

4. RESTRICTIONS ON USE OF THE SITE (ข้อจำกัดในการใช้งานเว็บไซต์)

ข้อตกลงเหล่านี้ไม่มีผลในเขตปกครองที่มีกฎหมายไม่อนุญาตให้ผู้ใช้งานใช้เครื่องมือและบริการของเรา.

5. USER RESTRICTIONS AND LIMITATIONS (ข้อจำกัดและข้อจำกัดของผู้ใช้)

คุณรับทราบว่าผู้ใช้ไม่มีสัมพันธ์พิเศษใดๆกับเรา คุณต้องรับผิดชอบและรับผลที่เกิดขึ้นจากข้อมูลที่คุณส่งมอบ. เราปฏิเสธความรับผิดชอบหากคุณขายหรืออนุญาตให้สิทธิ์การเข้าถึงบัญชีของคุณแก่บุคคลที่สาม หรือให้บุคคลที่สามเข้าถึงบัญชีของคุณได้ รวมถึงเปิดเผยรหัสผ่าน ให้กับบุคคลที่สาม. เรารับประกันความลับหรือความเป็นส่วนตัวของข้อมูลหรือข้อมูลในการสื่อสารใด ๆ ที่ถูกส่งผ่านเว็บไซต์หรือบริการ รวมถึงการสื่อสารที่เชื่อมโยงกับไซต์ และรับผิดชอบต่อความเป็นส่วนตัวของอีเมล, ข้อมูลการลงทะเบียนหรือการระบุตัวตน, การจัดเก็บข้อมูล, การสื่อสาร, ความลับทางการค้าหรือเนื้อหาอื่น ๆ ที่ถูกจัดเก็บในฐานข้อมูลของเราหรือถูกส่งผ่านบริการของเรา.

คุณอาจเลือกรหัสผ่านและรหัสผู้ใช้ได้. โดยคุณต้องให้ข้อมูลการลงทะเบียนที่ถูกต้อง, สมบูรณ์ และอัปเดต ให้เป็นปัจจุบัน. คุณไม่สามารถเลือกรหัสผู้ใช้ที่เป็นชื่อของบุคคลอื่นหรือใช้ชื่อที่คุณไม่ได้รับอนุญาตตามกฎหมายหรือใช้ชื่อที่ละเมิดสิทธิ์ทางกฎหมายของบุคคลอื่นหรือนิติบุคคลใด ๆ. โปรดตระหนักว่า คุณต้องรับผิดชอบในการรักษาความปลอดภัยของรหัสผ่านและรหัสผู้ใช้ของคุณ.

6. CONFIDENTIALITY

บริบทนี้อยู่ในบังคับและตีความตามกฎหมายของประเทศไทย คุณรับทราบว่า เรามีหน้าที่ต้องปฏิบัติต่อข้อมูลที่เป็นความลับของผู้ส่งมอบข้อมูลดังต่อไปนี้

6.1. เรารับผิดชอบเก็บรักษาข้อมูลที่เป็นความลับของผู้ส่งมอบข้อมูลภายใต้มาตรฐานเดียวกับการเก็บรักษาข้อมูลที่เป็นความลับของเราเอง ทั้งนี้ มาตรฐานการเก็บรักษาข้อมูลของเราไม่ต่ำกว่ามาตราฐานการเก็บรักษาข้อมูลที่เป็นความลับที่ใช้กันโดยทั่วไปในการประกอบธุรกิจ เช่น มาตรฐาน ISO27001,มาตรฐาน ISO27701 เป็นต้น

6.2. เราไม่อนุญาตให้ ตัวแทน, ลูกจ้าง, พนักงาน, ที่ปรึกษาของเรา และ/หรือ บุคคลอื่นใดที่ได้รับมอบหมายจากเรา ทำการเปิดเผยข้อมูลแก่บุคคลภายนอก ทำสำเนา หรือทำการอื่นใดในทำนองเดียวกัน กับข้อมูลที่เป็นความลับของผู้ส่งมอบข้อมูล ไม่ว่าทั้งหมดหรือบางส่วน  เว้นเสียแต่ได้รับอนุญาตจากผู้ส่งมอบข้อมูลเป็นลายลักษณ์อักษร

6.3. เราไม่อนุญาตให้ ตัวแทน, ลูกจ้าง, พนักงาน, ที่ปรึกษาของตน และ/หรือ บุคคลอื่นใดที่ได้รับมอบหมายจากเรา ใช้ข้อมูลที่เป็นความลับของผู้ส่งมอบข้อมูลไปในทางอื่นนอกจากไปจากธุรกรรมที่กำหนดไว้ในนโยบายบริษัท เว้นเสียแต่ได้รับอนุญาตจากผู้ส่งมอบข้อมูลเป็นลายลักษณ์อักษร และต้องไม่ใช้ข้อมูลที่เป็นความลับดังกล่าวไปในทางที่ขัดต่อ กฎหมาย กฎเกณฑ์ ตลอดจนระเบียบต่าง ๆ ที่ออกโดยหน่วยงานของรัฐที่มีอำนาจ 

6.4. เราจะเปิดเผยข้อมูลที่เป็นความลับของผู้ส่งมอบข้อมูลเฉพาะต่อ ตัวแทน ลูกจ้าง พนักงาน ผู้รับเหมาช่วง และบริษัทที่ปรึกษาของเรา ที่มีความจำเป็นต้องรู้ข้อมูลดังกล่าวเพื่อการทำธุรกรรมตามกำหนดเท่านั้น

6.5. เราทราบและยอมรับว่าข้อมูลที่เป็นความลับที่ส่งมอบโดยผู้ส่งมอบข้อมูลแก่เราถือเป็นทรัพย์สินของผู้ส่งมอบข้อมูล และเมื่อสัญญายกเลิกหรือผู้ส่งมอบข้อมูลร้องขอ เราจะทำการลบ ทำลายข้อมูล หรือ ส่งคืน ข้อมูลของผู้เปิดเผยข้อมูลไม่ว่าจะทั้งหมดหรือแต่บางส่วน ทั้งนี้ หน้าที่ในการเก็บรักษาข้อมูลที่เป็นความลับตามที่กล่าวด้านบนตั้งแต่ข้อ 6.1-6.4 จะไม่นำมาบังคับใช้ในกรณีดังต่อไปนี้

6.5.1.  ข้อมูลซึ่งเป็นที่ทราบโดยทั่วกันของสาธารชนอยู่แล้วในวันที่เปิดเผยข้อมูล โดยข้อมูลซึ่งเป็นที่ทราบโดยทั่วกันของสาธารชนจะต้องไม่เกิดจากการกระทำผิดของเรา และ/หรือ บุคคลที่เกี่ยวข้องกับเรา

6.5.2. ข้อมูลที่เราได้รับจากบุคคลภายนอกที่ไม่เกี่ยวข้องกับผู้ส่งมอบข้อมูลตามธุรกรรมที่ได้ทำขึ้น

6.5.3.  ข้อมูลที่จำเป็นต้องเปิดตามกฎหมาย คำสั่งศาล หรือคำสั่งของหน่วยงานของรัฐที่มีอำนาจ ทั้งนี้เมื่อได้รับคำสั่งศาล หรือหน่วยงานของรัฐที่มีอำนาจให้เปิดเผยข้อมูล เราจะแจ้งคำสั่งดังกล่าวให้ผู้ส่งมอบข้อมูลทราบโดยไม่ชักช้า เพื่อให้ผู้ส่งมอบข้อมูลสามารถพิจารณาข้อมูลที่ต้องเปิดเผยก่อนส่งให้ศาลหรือหน่วยงานของรัฐที่เกี่ยวข้องต่อไป

7. ARCHIVING FILE POLICY 

                  ตามแผนไฟล์ (File plan) ของบริษัท บันทึกต่างๆ (File) ในระบบการจัดเก็บเอกสารอิเล็กทรอนิกส์ จะถูกกำหนดระยะเวลาการจัดเก็บในละขั้นตอนอย่างเหมาะสมทั้ง 5 ขั้นตอนตามวัฏจักรเอกสาร (Stage) โดย

บันทึก (File) หมายความถึง Input/Output file, Meta file, Content file

แผนไฟล์ (File plan) หมายความถึง การระบุสถานที่จัดเก็บ, วิธีการจัดเก็บ, ระยะเวลาการจัดเก็บ และกระบวนการทำลายไฟล์

ขั้นตอน (Stage) หมายความถึง การสร้างและนำส่งข้อมูล, การจำแนกประเภทเอกสาร, การจัดเก็บข้อมูลActive(3 เดือนใน get) และการโอนย้าย, การปรับเป็น Archiving file(5 ปีจนถึงทำลาย), การลบหรือทำลาย

ในขั้นตอนการโอนย้าย และขั้นตอนการลบหรือทำลาย จะเป็นไปตามกำหนดระยะเวลาจัดเก็บตามข้อตกลงในสัญญาบริการ (Service agreement) ที่ได้ตกลงกันไว้ก่อนรับบริการ ซึ่งเป็นไปตามกฎหมายที่กำหนดไว้ในประเทศไทย* โดยบริษัทจะแจ้งผู้ใช้บริการล่วงหน้า ก่อนการลบหรือทำลายข้อมูลบันทึกเป็นระยะเวลาอย่างน้อย 30 วัน

*การเก็บรักษาเอกสารทางบัญชี

พระราชบัญญัติการบัญชี พ.ศ. 2543 มาตรา 5 ได้บัญญัติให้รัฐมนตรีว่าการกระทรวงพาณิชย์ รักษาการตามพระราชบัญญัติ และตามมาตรา 14 ได้บัญญัติให้ผู้มีหน้าที่จัดทำบัญชี “ต้องเก็บรักษาบัญชีและเอกสารที่ต้องใช้ประกอบการลงบัญชีไว้เป็นเวลาไม่น้อยกว่า 5 ปี” นับแต่วันปิดบัญชีหรือจนกว่าจะมีการส่งมอบบัญชี และเพื่อประโยชน์ในการตรวจสอบ

“อธิบดีมีอำนาจกำหนดให้ผู้มีหน้าที่จัดทำบัญชีเก็บรักษาบัญชีและเอกสารที่ต้องใช้ประกอบการลงบัญชีไว้เกิน 5 ปี แต่ไม่เกิน 7 ปี”

*การเก็บรักษาเอกสารภาษีมูลค่าเพิ่ม

ตามประมวลรัษฎากร มาตรา 87/3 กำหนดให้ผู้ประกอบการ “ต้องเก็บรักษาไว้เป็นเวลาไม่น้อยกว่า 5 ปี แต่ไม่เกิน 7 ปี” นับแต่วันที่ได้ยื่นแบบแสดงรายการภาษีหรือวันทำรายงาน แล้วแต่กรณี

อย่างไรก็ตาม เจ้าพนักงานประเมินมีอำนาจออกหมายเรียกหรือมีอำนาจเรียกเก็บภาษีอากรจากผู้มีหน้าที่ยื่นแบบแสดงรายการภาษีหรือผู้มีหน้าที่นำส่งภาษี ตามมาตรา 23 มาตรา 83/6 และมาตรา 91/16 แห่งประมวลรัษฎากร ซึ่งประมวลรัษฎากร มิได้กำหนดระยะเวลาดำเนินการ “เจ้าพนักงานประเมินจึงมีอำนาจออกหมายเรียกหรือประเมินภาษีอากรได้ภายใน 10 ปี”

*การเก็บรักษาข้อมูลจราจรทางคอมพิวเตอร์

พระราชบัญญัติ ว่าด้วยการกระทำความผิดเกี่ยวกับคอมพิวเตอร์ พ.ศ. 2550 มาตรา 26 ผู้ให้บริการต้องเก็บรักษาข้อมูลจราจรทางคอมพิวเตอร์ไว้ไม่น้อยกว่าเก้าสิบวันนับแต่วันที่ข้อมูลนั้นเข้าสู่ระบบคอมพิวเตอร์ แต่ในกรณีจำเป็นพนักงานเจ้าหน้าที่จะสั่งให้ผู้ให้บริการผู้ใดเก็บรักษาข้อมูลจราจรทางคอมพิวเตอร์ไว้เกินเก้าสิบวันแต่ไม่เกินหนึ่งปีเป็นกรณีพิเศษเฉพาะรายและเฉพาะคราวก็ได้

ผู้ให้บริการจะต้องเก็บรักษาข้อมูลของผู้ใช้บริการเท่าที่จำเป็นเพื่อให้สามารถระบุตัวผู้ใช้บริการนับตั้งแต่เริ่มใช้บริการและต้องเก็บรักษาไว้เป็นเวลาไม่น้อยกว่าเก้าสิบวันนับตั้งแต่การใช้บริการสิ้นสุดลง

8. TERM AND TERMINATION

เราขอสงวนสิทธิ์ในการยกเลิก ยุติ หรือแก้ไขบริการหรือส่วนหนึ่งส่วนใดของบริการได้ตลอดเวลาโดยไม่ต้องแจ้งให้ทราบล่วงหน้าด้วยเหตุผลใดก็ตามที่เราเห็นว่าเหมาะสม คุณสามารถแจ้งยกเลิกบริการล่วงหน้าเป็นลายลักษณ์อักษรภายในระยะเวลา 30 วันก่อนครบกำหนดสัญญา และให้สัญญานี้สิ้นสุดลงทันที โดยคุณไม่ต้องบอกกล่าวล่วงหน้า หากเราผิดเงื่อนไขข้อใดข้อหนึ่งดังต่อไปนี้ (ก) ศาลสั่งพิทักษ์เด็ดขาดหรือเป็นบุคคลล้มละลาย (ข) กระทำผิดสัญญาหรือฝ่าฝืนข้อตกลงในสัญญาฉบับนี้หรือดำเนินการใด ๆ โดยที่คุณไม่ได้มอบหมายหรือยินยอมให้ดำเนินการก่อนแล้ว และการฝ่าฝืนดังกล่าวไม่ได้รับการแก้ไขเยียวยาภายในเวลาที่บริษัทกำหนดแล้ว ให้ถือว่าสัญญานี้สิ้นสุดลงทันทีเมื่อสัญญาสิ้นสุดลงตามที่ระบุในสัญญาหรือข้อตกลง (ค) คุณผิดนัดไม่ชำระค่าบริการให้กับเราตามกำหนดแล้ว เรามีสิทธิเรียกดอกเบี้ยในอัตราที่แจ้งในสัญญาหรือข้อตกลงจนกว่าคุณจะชำระเสร็จและเรามีสิทธิบอกเลิกสัญญากับคุณได้ทันที

คุณอาจโอนย้าย แปลงหนี้ ในสัญญาหรือข้อตกลงให้แก่ผู้ให้บริการรายอื่น โดยต้องแจ้งให้เราทราบล่วงหน้าเป็นหนังสือไม่น้อยกว่า 30 วัน และต้องได้รับความยินยอมจากเราเป็นลายลักษณ์อักษร และคุณและผู้ให้บริการรายใหม่ดังกล่าวจะต้องปฏิบัติตามมาตรการ และคำสั่งที่เกี่ยวข้องกับการโอนย้ายบริการตามที่เราแจ้งให้ทราบ

ข้อมูลของคุณจะถูกลบ ทำลาย หรือส่งคืน เมื่อสิ้นสุดสัญญา หรือสัญญาถูกยกเลิก คุณยอมรับว่า คุณต้องรับผิดชอบในการยกเลิกบัญชีของคุณอย่างถูกต้อง คำขอยกเลิกบัญชีต้องถูกส่งมาเป็นลายลักษณ์อักษรเท่านั้น ที่อยู่อีเมล appsupport@ginkgosoft.co.th. การแจ้งยกเลิกทางโทรศัพท์หรือบอกกล่าวด้วยวาจา รวมถึงส่งไปยังอีเมลซึ่งไม่ใช่ผู้รับผิดชอบโดยตรงจะถือว่าไม่ถูกต้อง.

ข้อมูลทั้งหมดของคุณจะถูกลบออกจากระบบตามระยะเวลาที่กำหนดเมื่อบัญชีถูกยกเลิก (ไม่ว่าตามระยะเวลาสัญญา คุณขอยกเลิก หรือถูกยกเลิกเนื่องจากละเมิดข้อตกลงก็ตาม). ข้อมูลจะไม่สามารถกู้คืนได้อีกหลังจากสิ้นสุดระยะเวลาจัดเก็บข้อมูลหรือสำรองข้อมูล.

9. WARRANTIES AND DISCLAIMERS

10. INDEMNIFICATION OBLIGATIONS

ในกรณีที่เกิดเหตุการณ์ในการให้บริการไม่เป็นไปตามที่กำหนดและพิสูจน์ว่าข้อผิดพลาดเกิดจากการให้บริการของเราที่บกพร่อง ทางเรายินดีคืนค่าบริการโดยมีมูลค่าตามจริง และไม่เกินกว่าค่าบริการที่เรียกเก็บจริง.

11. LIMITATIONS OF LIABILITY

เราจะรับผิดชอบต่อความเสียหายที่เกิดขึ้น หรือเกี่ยวข้องกับสัญญาระหว่างเราและคุณตามที่เกิดขึ้นจริง แต่ทั้งนี้ ไม่ว่ากรณีใดๆค่าเสียหายโดยรวมทั้งหมดจะไม่เกินกว่าค่าบริการที่ได้รับจากคุณ และสัญญาระหว่างเราและคุณไม่มีข้อความใด ๆ ที่เป็นการให้การรับประกัน การรับรอง หรือการกำหนดการชดใช้ค่าเสียหายล่วงหน้าให้แก่คุณแต่ประการใด นอกจากนี้ เราไม่มีหน้าที่ ความรับผิดชอบ หรือความรับผิดใดๆ ในความเสียหายอันเนื่องมาจากการขาดกำไร การหยุดชะงักของธุรกิจ ความเสียหายทางอ้อม ความเสียหายเชิงลงโทษ ความเสียหายพิเศษ   ของคู่สัญญา อันอยู่นอกเหนือขอบเขตสัญญาระหว่างเราและคู่สัญญา

12. GENERAL

เราขอสงวนสิทธิ์ในการรวบรวมข้อมูล และเนื้อหาดังกล่าวตามที่เราเห็นว่าเหมาะสมในเว็บไซต์ ระบบและในบริการ (รวมถึงข้อมูล และเนื้อหาของบุคคลที่สาม) ขึ้นอยู่กับดุลยพินิจของเราแต่เพียงผู้เดียว คุณไม่ได้รับอนุญาตให้แก้ไข ปรับเปลี่ยน นำไปใช้ใหม่ ก่อนได้รับอนุญาต และไม่ได้รับอนุญาตแฮ็กเครื่องมือและบริการของเรา หรือเผยแพร่เว็บไซต์บุคคลที่สามที่บอกเป็นนัยอย่างเป็นเท็จว่าเว็บไซต์ดังกล่าวเกี่ยวข้องกับเรา.

1. Introduction

This document outlines the service scope of the service provider and specifies what users can and cannot do, including the terms and conditions (“Agreement”). By accepting the details explained below, it will be considered a legally binding agreement between the company, Gingsoft Limited (“Gingsoft,” “we,” or “us”), a limited company established under Thai law (registration number 0105556078229), which owns and operates products as outlined below with individuals or corporation of the following nature (collectively referred to as “you” or “your”):

• Visitors to the general website at getinvoice.net and/or other URLs owned or operated by Gingsoft (each referred to as “website visitors”)
• Members or individuals licensed in one or more of our products or services (“Gingsoft services”) (each referred to as “customers”), and
• Users of getInvoice services, including users authorized to use customer accounts and getInvoice services in other formats (each referred to as “users”).

2. UPDATES AND COMMUNICATIONS

2.1. We may amend these terms, including modifying, deleting, or adding additional terms and conditions at our sole discretion. Furthermore, to comply with applicable laws, we will update the amended terms on the website with a version number and a “Last Update” date. Therefore, please check this website regularly to receive notifications of any amendments. If you continue to use the site or service after the amended terms take effect, it means you agree to be bound by the amended terms. You acknowledge that we will not be liable to you or any third party for any amendments to the terms.

2.2. You agree to receive communications, correspondence, and all notices that we provide regarding our website, including any getInvoice services, not limited to but including marketing messages and sales promotions related to us or the getInvoice service. Correspondence includes responses related to the delivery of getInvoice services and providing information related to purchasing or subscribing to the getInvoice service (“Communications”) from you through electronic means, including email, product notification messages, push notifications, or postings, or accessible through the website within the maximum limits allowed by applicable law. You acknowledge that all communications between us and you are subject to electronic legal terms, whether in writing or delivered as agreed upon. You agree within the scope of being a visitor to the website, customer, or user who manages accounts and current contact information. You can choose not to receive marketing emails and sales promotion messages sent to you for a period by unsubscribing at the end of the marketing email received or by sending an email to unsubscribe at appsupport@ginkgosoft.co.th.

3. OWNERSHIP

3.1. Intellectual Property: Websites, applications, or websites consisting of copyrighted content and protected by copyrights, trademarks, service marks, patents, certificates, as well as laws and agreements of other intellectual property rights.

3.1.1. You agree to comply with all copyright and intellectual property laws and regulations, as well as any additional copyright notices or restrictions that exist on the site. You acknowledge that this site contains valuable intellectual property of GinkgoSoft and licensors. The site has all current and future rights to all types of intellectual property or other copyrights, without limitation to any modifications, support, designs, or imitations, and any knowledge or processes involved, including rights to applications and all registrations related to the aforementioned intellectual property between you and GinkgoSoft. Everything mentioned above will be the property of GinkgoSoft and licensors solely. Any rights not explicitly granted in these terms or in writing between you and GinkgoSoft will be reserved by GinkgoSoft. The use of any intellectual property related to the site without permission is strictly prohibited.

3.1.2. Trademark: Logos, slogans, and symbols displayed on the website (collectively referred to as “trademarks”) are registered or unregistered properties of GinkgoSoft and licensed Licensees. Trademarks cannot be used for any advertising or publicity purposes, or to indicate the endorsement or affiliation of GinkgoSoft with any product, service, activity, or organization without prior written permission from GinkgoSoft.

3.1.3. Intellectual : getInvoice respects copyright laws and expects users to do the same. If you believe that any content or messages on the site may infringe on your copyright, please notify us via email at appsupport@ginkgosoft.co.th.

3.2. The limitations of the License: Any information, including software that may be available for download through the site or website or application of a third party (“Software”), is copyrighted work of GinkgoSoft, Licensees, and/or other third-party service providers involved. The use of the software is subject to these terms and the License and/or any other terms necessary for you directly from the third-party service provider. Replicating or distributing the software without permission is strictly prohibited by law. Such actions may result in civil and criminal penalties, and violators may be prosecuted.

3.3. Delivering user-generated content.

3.3.1. Content Submission: The site may allow you to submit, post, upload, or distribute content (collectively referred to as “posts”), such as questions, public messages, ideas, comments on products, opinions, and other content (collectively referred to as “user-generated content”) that other users may or may not be able to view. By posting user-generated content unless specified otherwise by us, you grant us the right to process your data under the agreement or terms and use the user data to develop any known or future technology under the terms of the agreement or terms. You grant us the right to use names and other related information regarding your user-generated content that you submit to operate under the agreement or terms. You acknowledge and warrant that: (a) you own or control all rights in the data that users submit; (b) the data submitted by users is true and accurate; and (c) the use of the data submitted by users does not violate any relevant terms or laws.

3.3.2. Content Filtering and Removal: You acknowledge and agree that we may, at our sole discretion, filter user data in advance without conditions. You acknowledge that we reserve the right (but not the obligation) at our sole discretion to reject, move, modify, or delete any user-generated content posted or used on the site. We have the right to delete user data that violates our terms at our sole discretion. You agree that we do not review or penalize user-generated content, and you must assess and assume all risks associated with using user data.

4. RESTRICTIONS ON USE OF THE SITE

These terms do not apply in jurisdictions where the law does not allow users to use our tools and services.

5. User Restrictions and Limitations

You acknowledge that users do not have any special relationship with us. You are responsible for and bear the consequences of the data you submit. We disclaim responsibility if you sell or grant access rights to your account to third parties, or allow third parties to access your account, including disclosing passwords to third parties. We guarantee the confidentiality of data or information in any communication sent through the website or service, including communications linked to the site, and are responsible for the privacy of emails, registration information or identity verification, data storage, communications, trade secrets, or other content stored in our database or transmitted through our service. You may choose your passwords and usernames. You must provide accurate, complete, and up-to-date registration information. You cannot choose usernames that are the names of other individuals or use names that you are not authorized to use by law or use names that infringe on the legal rights of other individuals or entities. Please be aware that you are responsible for maintaining the security of your passwords and user IDs.

6. CONFIDENTIALITY

This context is binding and interpreted in accordance with the laws of Thailand. You acknowledge that we are obligated to treat confidential information provided by data submitters as follows:

6.1. We are responsible for safeguarding the confidential information provided by data submitters under the same standards as we maintain for our own confidential information. Our data retention standards are no less than the generally accepted standards for safeguarding confidential information in business operations, such as ISO27001, ISO27701, and similar standards.

6.2. We do not allow agents, employees, consultants, or any other individuals authorized by us to disclose information to third parties, make copies, or take any other action similar to the confidential information provided by data submitters, in whole or in part, unless authorized in writing by the data submitter.

6.3. We do not allow agents, employees, consultants, or any other individuals authorized by us to use the confidential information provided by data submitters for purposes other than those specified in the company policy, unless authorized in writing by the data submitter. They must not use the aforementioned confidential information in a manner that violates laws, regulations, and various regulations issued by authorized government agencies.

6.4. We will disclose confidential information provided by data submitters only to agents, employees, contractors, and consulting companies who need to know such information for transaction purposes as required.

6.5. We acknowledge and agree that the confidential information provided by data submitters to us is considered the property of the data submitter. When the contract is terminated or the data submitter requests it, we will delete, destroy, or return the information provided by the data discloser, whether in whole or in part. In this regard, the obligations to maintain confidential information as stated above from sections 6.1-6.4 shall not apply in the following cases.

6.5.1.  The information that is generally known to the public on the date of disclosure. Information that is generally known to the public must not arise from our actions and/or individuals associated with us.

6.5.2. Information we receive from external parties not related to the data submitter in transactions conducted.

6.5.3.  Information that must be disclosed according to the law, court order, or order of a government agency with authority. In the event of receiving a court order or an order from a government agency with authority to disclose information, we will promptly notify the data submitter of such order so that the data submitter can consider the information that needs to be disclosed before submitting it to the court or relevant government agency.

7. ARCHIVING FILE POLICY 

According to the company’s file plan, various records in the electronic document storage system will be assigned storage periods in a suitable manner through 5 stages according to the document lifecycle.

– File refers to Input/Output file, Meta file, Content file.

– File plan refers to specifying storage locations, storage methods, storage periods, and file destruction processes.

– Stage refers to data creation and delivery, document categorization, active data storage and migration, conversion to archiving files, deletion, or destruction.

During the transfer and deletion stages, the storage periods will be in accordance with the terms agreed upon in the service agreement made before receiving the service, which complies with the laws stipulated in Thailand. The company will notify users in advance before deleting or destroying record data, with a minimum notice period of 30 days.

– Record retention for accounting documents

According to the Accountancy Act B.E. 2543, Section 5 stipulates that the Minister of Commerce is empowered to ensure compliance with the Act. Additionally, under Section 14, it is mandated that those responsible for accounting must “retain accounts and documents necessary for accounting purposes for a period of not less than 5 years” from the date of closing the accounts or until the accounts are delivered, for audit purposes. 

“The Director-General has the authority to require those responsible for accounting to retain accounts and documents necessary for accounting purposes for more than 5 years but not exceeding 7 years.”

– Record retention for value-added tax documents

According to the Revenue Code, Section 87/3 stipulates that operators “must retain records for a period of not less than 5 years but not exceeding 7 years” from the date of submitting the tax return or the date of reporting, as the case may be.

However, tax assessors have the power to issue summons or have the authority to collect income tax from individuals responsible for submitting tax returns or those responsible for delivering taxes, in accordance with Section 23, Section 83/6, and Section 91/16 of the Revenue Code. The Revenue Code does not specify a time limit for proceedings, so tax assessors have the authority to issue summons or assess income tax within 10 years.

– Record retention for computerized traffic data 

The Computer Crime Act B.E. 2550, Section 26 stipulates that service providers must retain computer traffic data for not less than ninety days from the date the data enters the computer system. However, in necessary cases, authorized officers may order service providers to retain such data for more than ninety days but not exceeding one year as a special and exceptional circumstance.

Service providers must retain user data only as necessary to identify users from the beginning of service usage and must retain it for a period of not less than ninety days from the end of service usage.

8. TERM AND TERMINATION

We reserve the right to cancel, terminate, or modify the service or any part of the service at any time without prior notice for any reason we deem appropriate. You may notify the cancellation of the service in advance in writing within 30 days before the contract expires, and this agreement shall terminate immediately. You do not have to give prior notice. If we breach any of the following conditions: (a) a court orders immediate cessation or bankruptcy, (b) breaches the contract or violates the terms of this agreement without your authorization or consent beforehand, and such breach is not remedied within the time specified by the company, this agreement shall be terminated immediately when the contract ends as specified in the contract or agreement, (c) you fail to pay for the services to us as agreed, we have the right to charge interest at the rate specified in the contract or agreement until you have paid in full, and we have the right to terminate the contract with you immediately.

You may transfer or assign debts in the contract or agreement to other service providers by notifying us in writing at least 30 days in advance and obtaining our written consent. You and the new service provider must comply with measures and orders related to the transfer of services as informed by us.

Your data will be deleted, destroyed, or returned when the contract ends or is terminated. You acknowledge that you are responsible for cancelling your account correctly. Requests to cancel accounts must be submitted in writing only to the email address appsupport@ginkgosoft.co.th. Notifications by phone or verbal communication, including emails sent to non-responsible parties, will be considered invalid. All your data will be deleted from the system at the specified time when your account is canceled (regardless of the contract period, your request for cancellation, or termination due to violation of the agreement). Data cannot be recovered after the data retention or backup period ends.

9.WARRANTIES AND DISCLAIMERS

We confirm the uptime of the Support service and the usability of the infrastructure during the agreed service period, as detailed in the agreement or contract.

10.INDEMNIFICATION OBLIGATIONS

In case of an incident where the service provided does not meet the specified requirements and it is proven that the error is due to our faulty service, we are happy to refund the service fee based on the actual value and not exceeding the actual service fee charged.

11.LIMITATIONS OF LIABILITY

We will be liable for any damages that occur or are related to the contract between us and you as they actually occur. However, in any case, the total amount of damages shall not exceed the total service fee received from you. The contract between us and you does not contain any warranties, guarantees, or advance damage compensation provisions to you in any way. Furthermore, we are not responsible or liable for any loss resulting from loss of profits, business interruption, consequential damages, punitive damages, or special damages of the contracting party beyond the scope of the contract between us and the contracting party.

12.GENERAL

We reserve the right to collect data and content as we deem appropriate on the website, systems, and services (including data and content from third parties) at our sole discretion. You are not authorized to modify, change, reuse before permission is granted, and you are not permitted to hack our tools and services or disclose third-party websites that falsely imply a relationship with us.

You understand that technical processing and transmission of services, including your content, are transferred under ISO27001 security measures, and related to various network transmissions and/or content modifications necessary to comply and adjust content to conform to the technical requirements of the network or devices connected using our systems, tools, and services. You explicitly consent to us displaying your information on the platform of the system and for multi-platform phone operating systems. We may use your trademarks and trade names to achieve objectives under the contract, agreement between parties, and data protection laws.

You acknowledge and agree that we may establish general practices, rules, guidelines, and limitations regarding the use of our system, as well as all tools and services we offer. Furthermore, you acknowledge that we reserve the right to change these general practices and limitations at any time at our sole discretion, with or without prior notice.

13.SUPPLEMENTAL TERM IN CERTAIN COUNTRIES

The website getInvoice is designed in accordance with Thai law. Therefore, we do not guarantee that the use of this website will not violate the laws within the jurisdiction of your area. You are responsible for complying with the laws in the jurisdiction of your area, especially if you access this system or website from outside Thailand. We may collect and use data for our own purposes. All information you provide to us, including site population data and contact information, you acknowledge that this information may be transferred within the scope of our company’s policy and may include data that can identify individuals. This information may be disclosed by us to authorities in jurisdictions with strict privacy laws, at least equivalent to those in Thailand.
